Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the websites, web applications, and related services operated by Northbrik Systems Ltd (“we”, “us”, “our”) trading as Northbrik, registered in England and Wales. Registered office: 71 to 75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom. These Terms work together with our Privacy Policy and Cookie Policy.
1. Agreement
By creating an account, paying for a subscription, or otherwise using the Services, you agree to these Terms. If you are accepting on behalf of an organisation, you represent that you have authority to bind that organisation.
2. The Services
Northbrik provides a business-oriented platform that may include, depending on configuration and your plan: natural language and AI-assisted workflows; a workspace for lead and pipeline management; chat and drafting tools; optional third-party integrations; browser-style surfaces that may use server-side automation to render third-party websites; and an optional desktop-style experience (“Northbrik OS” or similar) that may be delivered via our own pages or via embedded experiences on subdomains we operate. Features evolve; we do not guarantee the continuous availability of any specific feature.
3. Eligibility and accounts
- The Services are intended for businesses and professionals. You must be at least 18 years old and able to enter a binding contract.
- You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account. Notify us promptly at legal@northbrik.com of suspected unauthorised use.
- We may suspend or terminate accounts that breach these Terms, pose a security risk, or abuse the Services.
4. Subscriptions and payment
Where paid plans are offered, billing may be processed by our payment provider (Stripe). Fees, trial periods, renewals, and taxes are as shown at checkout or in your account. Unless stated otherwise, subscriptions renew until cancelled in accordance with the provider’s flow. Non-payment may result in downgrades or suspension of paid features. Consumer statutory rights where applicable are not excluded.
5. Acceptable use
You agree not to:
- use the Services to violate applicable law (including UK GDPR, PECR, harassment laws, or computer misuse legislation);
- send unsolicited bulk communications in breach of marketing or privacy rules, or use outputs to spam or mislead;
- attempt to probe, scrape, or attack our infrastructure, circumvent technical limits, or misuse credentials or APIs;
- use the Services to process unlawful discriminatory criteria or to target individuals in ways that violate their rights;
- rely on automated outputs as sole grounds for decisions with legal or similarly significant effects on individuals without appropriate human review where required by law.
Where browser or automation features load third-party sites, you must comply with those sites’ terms and robots policies unless you have a separate lawful basis. We do not authorise infringement of third-party rights.
6. Third-party services and integrations
The Services may embed or connect to third-party products (for example maps or directory APIs, large-language-model providers, email delivery, or hosted desktop shells). Those services have their own terms and privacy notices. We are not responsible for third-party availability or behaviour beyond what mandatory law requires.
7. AI outputs and lead information
Outputs may include summaries, scores, drafts, or structured data derived from public or licensed sources and model inference. They are provided for assistance only and may be incomplete or inaccurate. You are solely responsible for verifying facts before reliance, contacting subjects lawfully, and complying with direct marketing, electronic communications, and data-protection obligations when you act on platform outputs. Northbrik is not a list broker; systematic resale or repurposing of data contrary to these Terms is prohibited.
8. Intellectual property
We and our licensors own all rights in the Services, branding, and underlying software (subject to open-source licences where expressly stated, such as for publicly offered source under AGPL where applicable). Except as permitted by law or licence, you may not copy, modify, distribute, or reverse engineer our proprietary components. You retain ownership of content you submit; you grant us a licence to host, process, and display it as reasonably necessary to provide and improve the Services.
9. Confidentiality and security
Each party will treat non-public information of the other with reasonable care. You must use administrative controls appropriate to your organisation when accessing production environments we expose to you.
10. Disclaimer of warranties
To the maximum extent permitted by law, the Services are provided “as is” and “as available”. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement except where such disclaimers cannot legally apply.
11. Limitation of liability
To the fullest extent permitted by applicable law, Northbrik Systems Ltd's aggregate liability arising from or relating to these Terms (whether in contract, tort, negligence, or otherwise) shall be limited to the total fees you paid us for the Services in the twelve months preceding the claim, or £250, whichever is higher. We exclude liability for indirect or consequential loss, loss of profits, loss of data (except where recovery cannot be excluded), or loss of business opportunity, except where such exclusion is prohibited (including death or personal injury caused by negligence, fraud, or other liabilities that cannot be limited).
12. Indemnity
You will indemnify and hold harmless Northbrik Systems Ltd and its directors and personnel against claims, damages, and reasonable legal costs arising from your misuse of the Services, your breach of these Terms, or your violation of third-party rights or applicable law in connection with content or campaigns you run using the platform, except to the extent caused by our material breach or negligence.
13. Changes and notices
We may update these Terms by posting a revised version and updating the effective date. Material changes may also be notified by email or in-app notice where appropriate. Continued use after changes constitutes acceptance where permitted by law.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. Subject to mandatory protections elsewhere, the courts of England and Wales have exclusive jurisdiction.
